What is an Accredited Investor?

An investment in a NIGMA Capital & Finance, LLC securities offering is suitable only for individuals, partnerships, corporations, limited liability companies, trusts or other entities of adequate financial means who are Accredited Investors and have no need for liquidity with respect to such investments.

The Security and Exchange Commission Rule 501 and 506; 17 CFR 230.501(a), and Sec 413; CR pages 542-545; currently defines an accredited investor as:

  1. A natural person whose individual net worth or joint net worth with that person’s spouse, at the time of the purchase of the Securities, exceeds $1,000,000, excluding the value of their primary residence.

  2. A natural person who had individual income in excess of $200,000 in each of the two most recent years or joint income with that person’s spouse in excess of $300,000 in each of those years and has reasonable expectations of reaching the same income level in the current year.

  3. An entity, such as an Individual Retirement Account (IRA) or Self Employed Person (SEP) Retirement Account, wishing to qualify must have all beneficial owners meet one of the above standards.

  4. Financial entities such as banks, insurance companies, registered investment companies, business development companies, or small business companies.

  5. An employee benefit plan if a bank, insurance company or registered investment advisor makes the investment decisions or if the plan has total assets in excess of $5,000,000.

  6. A charitable organization, corporation or partnership with assets exceeding $5,000,000.

  7. A trust with assets of at least $5,000,000, not formed to acquire the securities offered, and whose purchases are directed by a sophisticated person.

To qualify with the Securities and Exchange Commission for the dissemination of offering documents and an accelerated offering timetable, we must restrict our investors to individuals and entities considered to be relatively sophisticated and financially independent under the securities laws – "Accredited Investors." The timing of our real estate transactions in the context of securities laws dictates the use of this format and requires that our investors demonstrate such sophistication by maintaining on file an Accredited Investor Suitability Form.
